AI Startup Cognition in Funding Talks at $40 Billion Valuation

Devin Developer of Rapidly Expands as Enterprise AI Demand Pushes Revenue Toward $1 Billion

Cognition, the artificial intelligence startup behind the autonomous coding agent Devin, is in early discussions with investors about a new funding round that could value the company at $40 billion or more.

The potential financing would represent another dramatic increase in Cognition’s valuation only months after the company raised more than $1 billion at a $26 billion valuation. Bloomberg reported that the talks are still preliminary, meaning the size, terms and participating investors could change before any deal is completed.

The discussions nevertheless highlight the extraordinary appetite among investors for AI companies that can demonstrate rapidly growing revenue and enterprise adoption.

Cognition Targets Another Major Funding Round

Cognition is reportedly seeking new capital at a valuation substantially above its most recent financing.

The company raised $1 billion at a $26 billion post-money valuation in May, with the round led by Lux Capital, General Catalyst and 8VC, alongside participation from several other prominent investors.

A potential valuation of $40 billion would represent an increase of roughly 54% from that previous mark.

The speed of the increase is particularly notable because the company has been able to attract new capital while the broader AI investment market remains intensely competitive.

Investors are increasingly looking for startups that can turn advanced AI technology into commercially valuable products.

Devin Drives Cognition’s Growth

Cognition’s flagship product is Devin, an AI software-engineering agent designed to perform coding tasks with a high degree of autonomy.

Unlike conventional coding assistants that primarily suggest lines of code or answer programming questions, Devin is designed to handle larger software-development workflows.

It can work through programming tasks, write and modify code, troubleshoot problems and assist with software-engineering projects.

The product has attracted significant attention from businesses looking for ways to increase developer productivity.

Enterprise adoption has grown rapidly, providing Cognition with an important source of revenue as it attempts to position AI agents as a core part of modern software development.

Revenue Approaches $1 Billion

One of the biggest factors behind the potential valuation increase is Cognition’s rapidly expanding revenue.

The company’s annualized revenue run rate is now approaching $1 billion, according to people familiar with the matter cited in the Bloomberg report.

That would represent a major increase from the $492 million annualized run rate Cognition reported when it announced its $1 billion funding round in May.

The acceleration suggests that enterprise customers are increasingly willing to pay for AI agents capable of handling real software-development work.

It also gives investors a clearer financial basis for assigning Cognition a valuation in the tens of billions of dollars.

Enterprise Adoption Expands

Cognition has been aggressively targeting businesses rather than relying exclusively on individual developers.

Its customer base includes major corporations and institutions such as Citi, Mercedes-Benz, Goldman Sachs, Dell, Santander, the US Navy and the US Army, according to information released around its previous financing.

Enterprise customers are particularly valuable because large organizations can generate substantial recurring revenue and may expand their usage over time.

For Cognition, wider enterprise adoption could help establish Devin as more than an experimental AI product.

The company’s objective is effectively to make autonomous software engineering part of the standard corporate technology stack.

AI Coding Market Becomes Increasingly Competitive

Cognition is operating in one of the fastest-growing segments of the AI industry.

Software development has emerged as a major application for generative AI because programming tasks are highly structured and can often be evaluated through automated testing.

That makes coding an attractive market for AI agents.

However, Cognition faces competition from a growing number of companies developing AI coding assistants and autonomous software agents.

Technology giants and specialized startups are all competing to capture developers and enterprise customers.

The competition means Cognition will need to continue improving Devin while demonstrating that customers receive enough value to justify substantial spending.

Previous Valuation Shows Rapid Growth

Cognition’s valuation has increased dramatically over a relatively short period.

The company was valued at around $2 billion in 2024, before reaching approximately $10.2 billion and then $26 billion in subsequent funding rounds.

A potential $40 billion valuation would represent another significant step upward.

Such rapid increases are characteristic of the current AI investment environment, where companies with strong growth can attract capital at valuations that would have been difficult to imagine only a few years ago.

The challenge for investors is determining whether revenue growth can continue quickly enough to justify those valuations.

Investors See AI Agents as a Major Opportunity

The interest in Cognition reflects a broader shift in the AI industry from chatbots toward AI agents.

Traditional generative AI systems primarily respond to user prompts.

AI agents are designed to perform sequences of actions, use tools and complete more complicated workflows with less human intervention.

Software engineering is considered one of the areas where this transition could have a major economic impact.

If AI agents can handle increasingly complex programming tasks, companies could potentially reduce development times and allow engineers to focus on higher-value work.

That possibility is one reason investors are placing substantial valuations on companies developing autonomous coding systems.

Cognition Expands Beyond a Single AI Agent

The company is also working to broaden its product offering.

Cognition’s strategy increasingly involves combining AI agents with coding environments, models and other software-development tools.

That could allow the company to capture more value from the software-development process rather than relying exclusively on Devin.

A broader product ecosystem could also make it harder for customers to switch to competing platforms.

For investors, this expansion provides another potential source of long-term revenue growth.

Funding Could Accelerate Product Development

If Cognition completes a new financing round at or near a $40 billion valuation, the additional capital could be used to accelerate product development and expand its enterprise operations.

AI companies require significant resources to train models, operate computing infrastructure and hire highly skilled researchers and engineers.

Cognition’s rapid revenue growth gives it the financial flexibility to invest aggressively.

The company can potentially use new funding to expand its workforce, develop more capable agents and increase its presence among large corporate customers.

Valuation Risks Remain

Despite Cognition’s rapid growth, a potential $40 billion valuation also carries significant risks.

AI startups are operating in an environment where valuations can rise quickly when revenue growth accelerates, but investor expectations can also change rapidly.

Cognition must continue growing revenue while maintaining customer satisfaction and controlling the costs associated with running advanced AI systems.

The company also needs to defend its position against much larger technology companies with significantly greater financial and computing resources.

A slowdown in AI spending or weaker-than-expected enterprise adoption could make such valuations more difficult to justify.

Competition for AI Talent Intensifies

Another challenge is the competition for highly skilled AI researchers and engineers.

Leading AI companies are spending enormous amounts to recruit and retain talent capable of developing advanced models and agent systems.

Cognition’s rapidly increasing valuation gives it greater resources to compete for employees, but it is still operating alongside some of the world’s largest technology companies.

Maintaining a strong technical team will be essential as the company attempts to keep its products ahead of competitors.

The Broader AI Investment Boom

Cognition’s fundraising discussions are part of a much larger wave of capital flowing into artificial intelligence.

Investors have poured billions of dollars into companies developing foundation models, AI agents, robotics, data infrastructure and specialized applications.

The focus is increasingly shifting toward startups that can demonstrate measurable commercial adoption.

Cognition’s reported approach toward $1 billion in annualized revenue is therefore particularly important.

It suggests the company is moving beyond the experimental stage and into a phase where investors can evaluate its growth using actual commercial activity.

Looking Ahead

Cognition’s reported discussions over a potential $40 billion valuation represent another major milestone for the rapidly growing AI company.

The startup’s progress has been driven by the adoption of Devin, expanding enterprise demand and a reported annualized revenue run rate approaching $1 billion.

If completed, the financing would mark a sharp increase from the $26 billion valuation established only months earlier.

The bigger question will be whether Cognition can sustain its extraordinary growth while competing against both AI startups and technology giants entering the coding-agent market.

For now, investor interest suggests strong confidence in the potential of autonomous software engineering.

As AI systems become increasingly capable of performing complex tasks rather than simply generating responses, Cognition’s rise demonstrates how investors are increasingly betting that AI agents could become a fundamental part of enterprise software and the future of work.
