Jyske Bank to Buy Danish Wealth Manager Formuepleje

Jyske Bank has agreed to acquire Danish wealth manager Formuepleje, strengthening its position in wealth and asset management as banks increasingly compete for affluent customers and recurring fee income. The Danish lender has signed a binding agreement to acquire 100% of FP Kapital A/S, which operates under the Formuepleje brand. The transaction is expected to close in the fourth quarter of 2026, subject to regulatory approvals and other customary conditions.

Formuepleje is one of Denmark’s largest independent wealth managers, with around 14,000 investors and approximately 40 billion Danish kroner ($5.8 billion) in assets under management, according to Jyske Bank. The company employs nearly 100 people and has a strong presence in Aarhus and Copenhagen. Formuepleje has operated for about four decades, developing investment solutions and personalized advisory services for clients seeking professional management of their wealth.

For Jyske Bank, the acquisition is designed to accelerate growth in wealth management while expanding its reach among affluent customers. The bank plans to build on Formuepleje’s existing advisory model, customer relationships and investment expertise instead of replacing the company’s established strengths. Formuepleje is expected to benefit from Jyske Bank’s larger platform, infrastructure and capabilities across asset and wealth management.

The transaction could also broaden Jyske Bank’s investment offering. The lender specifically highlighted opportunities to expand selected alternative-investment products, including real estate and private equity. At the same time, Formuepleje customers would gain access to Jyske Bank’s wider range of banking products and advisory services. That combination could allow the two businesses to cross-sell services while giving Formuepleje greater resources for future product development.

Financially, Jyske Bank expects the acquisition to generate slightly more than 200 million kroner in annual net fee and commission income. The deal is expected to become earnings-per-share accretive from 2028, indicating that management sees the acquisition as a long-term contributor to profitability rather than a major immediate earnings driver. Integration costs are estimated at approximately 100 million kroner.

The capital impact is expected to be limited. Jyske Bank estimates that the transaction will consume close to 0.1% of its risk exposure amount. The bank has also left its 2026 financial outlook unchanged, continuing to forecast earnings per share of between 71 and 85 kroner, equivalent to net profit of approximately 4.3 billion to 5.1 billion kroner.

The acquisition comes as wealth management becomes increasingly important to traditional banks. Fee-based businesses can provide more stable recurring revenue than lending alone, while relationships with wealthy customers can support demand for investment products, financing, deposits and advisory services. By adding Formuepleje’s investors and assets, Jyske Bank can increase its scale without having to build an equivalent customer base organically.

For Formuepleje, the deal represents a shift toward a larger banking owner while allowing the wealth manager to maintain its identity. The company said it will continue under its own name and management, with operations remaining in Aarhus and Hellerup. Its existing investment solutions and advisory focus are also expected to continue.

The transaction does not come without challenges. Jyske Bank will need to integrate systems and capabilities while preserving the personal service that helped Formuepleje build its customer base. Wealth-management clients can be particularly sensitive to changes in advisers, investment philosophy and service quality. Maintaining those relationships will therefore be central to realizing the deal’s expected benefits.

If regulatory approvals are secured, the transaction is expected to be completed in the fourth quarter. For Jyske Bank, the acquisition provides a relatively capital-light route into additional wealth-management growth, while Formuepleje gains the financial scale and infrastructure of a major Danish banking group. The success of the deal will ultimately depend on whether Jyske Bank can combine those advantages without weakening the specialized customer experience that made Formuepleje attractive in the first place.
