Elliott Builds Deutsche Telekom Stake and Opposes Potential T-Mobile Merger

Activist Investor Raises Concerns Over Plans for Historic Telecom Combination. Elliott Investment Management has built a stake in Deutsche Telekom and is opposing a potential combination between the German telecom giant and its US subsidiary, T-Mobile US, according to reports.

The investment firm is said to believe that a merger could destroy shareholder value rather than unlock it, putting Elliott at odds with Deutsche Telekom’s reported plans to explore one of the largest corporate transactions in history.

Deutsche Telekom has been considering a potential combination with T-Mobile US, a deal that could create one of the world’s largest telecommunications companies. The German company already owns a majority stake of about 53% in T-Mobile US.

Elliott Questions Merger Strategy

Elliott’s opposition adds fresh pressure on Deutsche Telekom as it considers its strategic options for T-Mobile US.

A full combination could simplify the corporate structure and create a single telecom group spanning Europe and the United States. However, the transaction would also involve significant complexity, including questions over valuation, ownership and the benefits for existing shareholders.

The potential deal has been described as capable of becoming the largest public merger on record. Reports earlier this year said discussions were still at an early stage and that no final agreement had been reached.

T-Mobile Is Deutsche Telekom’s Key Asset

T-Mobile US has become one of Deutsche Telekom’s most valuable assets and a major driver of the German company’s growth.

The US wireless operator has expanded rapidly in recent years and competes directly with major American rivals including AT&T and Verizon. Its strong position in the US market has also increased the importance of any decision involving its ownership structure.

Deutsche Telekom’s majority stake means that any attempt to fully combine the two companies would be less about gaining control and more about restructuring how the businesses are owned and managed.

Historic Deal Could Face Major Challenges

A potential merger would create a telecom group with a massive international customer base and a market value that could rank among the largest in the industry.

However, investors have raised concerns about the structure of such a transaction and whether combining the companies would provide enough benefits to justify the financial and operational complexity involved.

Deutsche Telekom’s shares fell after reports of merger discussions emerged in April, while T-Mobile shares also came under pressure, highlighting investor uncertainty over the proposed transaction.

Activist Pressure Could Influence Talks

Elliott is known for taking positions in major companies and pushing for changes aimed at increasing shareholder value.

Its investment in Deutsche Telekom could give the firm greater influence over the debate surrounding the future of T-Mobile US, particularly if other shareholders share concerns about the proposed combination.

The activist investor’s position could also encourage Deutsche Telekom to consider alternatives to a full merger, including maintaining its current ownership structure or pursuing other ways to address investor concerns.

No Final Decision Yet

Deutsche Telekom has not announced a final agreement to merge with T-Mobile US, and the reported discussions remain subject to further negotiations.

The company will now face increased scrutiny from investors as Elliott’s opposition becomes part of the debate over the future of one of the world’s largest telecom assets.

For now, the reported stake signals that Elliott sees value in Deutsche Telekom but is questioning whether a full combination with T-Mobile US is the best way to unlock it. The disagreement could become an important test for Deutsche Telekom’s leadership if merger discussions continue.
