Biggest Acquisition in Vertex’s History Adds New Endocrinology Business and Two High-Potential Medicines
Vertex Pharmaceuticals has agreed to acquire Crinetics Pharmaceuticals in an all-cash deal valued at approximately $10 billion, marking the largest acquisition in Vertex’s history as the biotechnology company expands beyond its dominant cystic fibrosis franchise into rare endocrine diseases.
$85-Per-Share Cash Offer
Under the agreement:
- Vertex will pay $85 per Crinetics share in cash
- The offer represents roughly a 102% premium to Crinetics’ previous closing price
- The total equity value of the transaction is about $10 billion
- The acquisition is expected to close during the third quarter of 2026, subject to regulatory approvals and shareholder approval.
Following the announcement, Crinetics shares more than doubled in extended trading, while Vertex shares fell modestly as investors assessed the size of the acquisition.

Palsonify
Crinetics markets Palsonify, the first and only once-daily oral treatment approved by the U.S. FDA for adults with acromegaly, a rare disorder caused by excessive growth hormone production.
The medicine has shown encouraging commercial momentum since its launch.
Atumelnant
The acquisition also includes atumelnant, a late-stage experimental therapy for congenital adrenal hyperplasia (CAH), a rare inherited disorder affecting the adrenal glands.
Together, these therapies are projected to generate more than $5 billion in peak annual sales, according to Vertex.
